By accessing or using GhostAnalytics' traffic operations platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

Subject to these Terms and your subscription agreement, we grant you a limited, non-exclusive, non-transferable licence to access and use our Services for your internal business operations.

Reverse engineer, decompile, or disassemble the Services
Remove or modify any proprietary notices
Use the Services for any unlawful purpose
Interfere with or disrupt the Services
Attempt to gain unauthorised access to our systems
Resell or redistribute the Services without authorisation

3. Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorised access
Ensuring your users comply with these Terms

4. Data and Privacy

You retain all rights to data you input into the Services ("Customer Data"). You grant us a licence to process Customer Data solely to provide the Services.

4.2 Data Protection

We will process Customer Data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring you have appropriate rights to provide Customer Data to us.

5. Fees and Payment

Fees are specified in your subscription agreement. You agree to pay all fees when due. We may suspend access for non-payment. All fees are non-refundable except as required by law or specified in your agreement.

We retain all rights, title, and interest in the Services, including all intellectual property rights. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

7. Warranties and Disclaimers

7.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability.

7.2 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

10. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access for violations of these Terms. Upon termination, your licence to use the Services ends immediately. Provisions that by their nature should survive termination will survive.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes. Continued use of the Services after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New South Wales.
